The terms governing your use of Zmartly’s accounting services, this website, and any supporting tools. By engaging us or continuing to use our service you agree to these terms.

1 · Agreement to Terms

These Terms and Conditions form a binding agreement between you (the Client) and Zmartly Ltd, a company registered in England and Wales (registered office: 20–22 Wenlock Road, London, N1 7GU). By engaging Zmartly to provide accounting, tax, or related services, or by using this website, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use our services or this website.

2 · Our Services & Engagement

Zmartly provides UK accounting, bookkeeping, tax compliance, advisory, and related services. The exact scope of services for each Client is set out in a separate written Engagement Letter or service plan. These Terms govern matters not addressed in that letter.

Scope of work

We will perform our services with reasonable care and skill, in accordance with relevant UK professional standards (ACCA, HMRC and Companies House requirements). We are not responsible for advice or work outside the agreed scope.

3 · Fees, Billing & Refunds

Fees are stated on a per-plan or per-engagement basis and are exclusive of VAT unless otherwise indicated. Monthly retainer plans are billed in advance and are non-refundable after the 30-day money-back window.

30-day money-back guarantee

If you are not satisfied with our services within the first 30 days of any plan, you may request a full refund of fees paid for that period. After 30 days, fees already paid are non-refundable. To cancel a rolling monthly engagement you must give 30 days’ notice in writing to info@zmartly.co.uk.

4 · Your Responsibilities

You agree to:

  • Provide accurate, complete, and timely information required for us to perform our services.
  • Notify us promptly of any changes to your business, address, ownership, or banking details.
  • Authorise us to act as your agent with HMRC, Companies House and other relevant authorities where required.
  • Review and approve filings before submission where this is requested.
  • Pay all fees in accordance with the agreed payment terms.

5 · Confidentiality & Data Protection

We treat all Client information as confidential and use it only for the purpose of delivering the agreed services. We process personal data in accordance with our Privacy Policy and the UK GDPR. We will not disclose your information to third parties without your consent, except where required by law or by professional regulation.

6 · Intellectual Property

All proprietary methods, templates, working papers, and software developed by Zmartly remain our intellectual property. Deliverables prepared for you (returns, accounts, reports) become your property once paid for in full. The Zmartly name, logo and brand assets remain our exclusive property and may not be used without prior written permission.

7 · Limitation of Liability

To the maximum extent permitted by law, our total liability to you for any claim arising out of or in connection with our services is limited to the fees paid to us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or third-party losses, or for losses arising from incorrect or incomplete information supplied to us.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot be excluded by law.

8 · Termination

Either party may terminate the engagement by giving 30 days’ written notice. We may terminate immediately if you fail to pay fees, breach these Terms, or place us in a position where we cannot comply with our professional obligations. On termination we will hand back your records and provide a professional clearance letter to your incoming accountant on request.

9 · Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising under or in connection with these Terms is subject to the exclusive jurisdiction of the courts of England and Wales.

10 · Changes to These Terms

We may update these Terms from time to time. The latest version is always published at zmartly.co.uk/terms-and-conditions. Material changes will be notified to active Clients by email at least 30 days before they take effect.
